Terms of Service

These terms are an agreement between Ledgental (“Ledgental,” “we,” “us”) and the firm that creates a Ledgental account (“you”). By creating an account or using Ledgental, you agree to them. If you use Ledgental for a firm, you confirm you are allowed to accept these terms for it. Please also read our Privacy Policy.

1. The service

Ledgental helps bookkeeping and accounting firms prepare proposals and engagement letters, collect electronic signatures, and ask their clients about transactions. We may add, change or remove features over time.

2. Beta and pricing

Ledgental is currently in beta and free to use. Beta features may change or have bugs. Before we start charging, we will tell you the price in advance, and you can decide whether to continue. Nothing is charged without your agreement.

3. Your account

• You must be at least 18 and use Ledgental for your business.
• Give accurate information and keep your password safe. You are responsible for activity in your account.
• Tell us right away at support@ledgental.com if you think your account was accessed without permission.

4. Your data

You own the content you put into Ledgental, including your clients' information, documents, transactions and answers (“Your Data”). You give us permission to host, process and display Your Data only as needed to run the service for you, as described in the Privacy Policy. You are responsible for:

• Having the right to upload Your Data and to send links and messages to your clients.
• Your own legal and professional obligations to your clients, including privacy and data security rules that apply to your firm (for example, the FTC Safeguards Rule).
• Sharing client links only with the intended person, and turning off links you no longer need.
• Keeping your own copies of documents you need, such as signed engagement letters.

5. Documents and electronic signatures

Ledgental provides templates and tools, not legal, tax or accounting advice. The proposals and engagement letters you send are yours: you are responsible for reviewing their content, prices and terms and making sure they fit your practice and the law in your state.

Ledgental records an audit trail for electronic signatures (names, time, consent text, IP address, browser details and a document fingerprint). You are responsible for deciding whether an electronic signature is right for each document and client, and for any disclosures the law requires you to give. We do not guarantee that any particular signature will be enforceable.

6. Acceptable use

You agree not to:

• Use Ledgental for anything illegal, fraudulent or misleading, or to send spam.
• Upload malware, or try to break, overload or get around the security of the service.
• Access other firms' data, or use another person's account without permission.
• Copy, resell or reverse engineer the service, except where the law allows it.

7. Availability and support

We work to keep Ledgental running and your data safe, but we do not promise the service will always be available or error-free. For help, email support@ledgental.com.

8. Ending your account

You can stop using Ledgental at any time and ask us to close your account by emailing support@ledgental.com. We may suspend or close an account that breaks these terms or puts the service or other users at risk. Where reasonable, we will warn you first and give you a chance to download Your Data. After an account is closed, we delete Your Data as described in the Privacy Policy.

9. Disclaimer

To the extent the law allows, Ledgental is provided “as is” and “as available,” without warranties of any kind, including warranties of merchantability, fitness for a particular purpose and non-infringement.

10. Limitation of liability

To the extent the law allows, Ledgental will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim related to Ledgental is limited to the greater of the amount you paid us in the 12 months before the claim or US $100.

11. Indemnity

You agree to cover reasonable costs and losses we incur from a claim by a third party (including your clients) that arises from Your Data, the documents you send, or your breach of these terms.

12. Changes to these terms

We may update these terms. If a change is significant, we will tell you by email or in the app before it takes effect. If you keep using Ledgental after that, the new terms apply.
